Norfolk Sound Systems Ltd
Effective Date: 1st January 2024
1.1. "Company" refers to Norfolk Sound Systems Ltd, its employees, agents, and subcontractors.
1.2. "Client" refers to the individual, business, or organisation hiring or purchasing goods or services from the Company.
1.3. "Goods" means all equipment, materials or products supplied by the Company.
1.4. "Services" means all work undertaken by the Company including hire, installation, engineering, consultancy, or event production.
1.5. "Contract" means the agreement between the Company and the Client for the supply of goods and/or services.
2.1. All quotations are valid for 30 days from the date of issue unless otherwise stated.
2.2. A contract is only formed once written confirmation of the order is received from the Client and accepted by the Company.
2.3. All bookings or purchases are subject to availability at the time of confirmation.
3.1. All hired equipment remains the property of Norfolk Sound Systems Ltd at all times.
3.2. The Client is responsible for the safekeeping, care, and return of all hired equipment in the same condition in which it was supplied.
3.3. Installation services will be carried out in a professional manner; however, the Client must ensure safe and timely access to the site.
3.4. Any changes to agreed installation or hire dates must be communicated in writing and may incur additional charges.
4.1. Equipment must only be used for its intended purpose and by competent individuals.
4.2. The Client shall not modify or alter any equipment without prior written consent.
4.3. The Company accepts no liability for loss or damage caused by misuse or unauthorised handling of the equipment.
5.1. Cancellations must be made in writing.
5.2. The following cancellation fees apply:
6.1. Unless otherwise agreed in writing, payment is due within 14 calendar days from the date of invoice.
6.2. For new Clients, the Company reserves the right to request full or partial payment in advance.
6.3. Late payments may incur interest at a rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
6.4. The Company reserves the right to withhold services or equipment, or to suspend work, until outstanding balances are cleared.
7.1. The Company will not be liable for any indirect, consequential or financial loss suffered by the Client, including loss of profit, business interruption, or reputational damage.
7.2. Nothing in these terms shall exclude or limit the Company’s liability for death or personal injury caused by its negligence.
7.3. The Client is responsible for obtaining any licences, permissions or permits required for the use of equipment or performance of services.
8.1. Risk in the equipment passes to the Client upon delivery or installation and remains with the Client until the equipment is returned or collected.
8.2. The Client is responsible for insuring hired equipment against loss, theft, or damage for the duration of the hire period.
9.1. The Company shall not be liable for any failure or delay in the performance of its obligations caused by circumstances beyond its reasonable control, including but not limited to acts of God, adverse weather, strikes, or equipment failure.
10.1. These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales.
10.2. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11.1. By placing an order, confirming a booking, or accepting delivery of goods or services, the Client is deemed to have accepted these Terms and Conditions in full.
